Terms of Service

1. Acceptance of these Terms
These Terms of Service (the “Terms”) form a binding agreement between you and Riffedit Corp., a Canadian corporation with its registered office at 100 King Street West, 1 First Canadian Place, Suite 6200, Toronto, ON M5X 1B8, Canada (“Riffed”, “we”, “us”), governing your use of the Riffed mobile application and any related services (collectively, the “App”).
By creating an account, signing in, or otherwise using the App, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
2. Eligibility
You must be at least 13 years old to use the App. If you are between 13 and the age of majority where you live, you may only use the App with permission from a parent or legal guardian who agrees to be bound by these Terms on your behalf.
You may not use the App if you are barred from doing so under the laws of your country or any country you are accessing the App from.
3. Your account
To use most features you need to create an account. When you do, you agree to:
- Provide accurate, current, and complete information.
- Keep your password (or social-login credentials) confidential.
- Be solely responsible for any activity that happens on your account.
- Notify us immediately at hello@riffedit.com if you suspect unauthorized access.
You may delete your account at any time from Settings → Delete Account. Deletion is final; we may retain limited records where required by law (for example, tax records for paid creators).
4. Your content & licenses
4.1 You own your content
Riffed does not claim ownership of the audio, video, images, text, or other materials you create, upload, or share through the App (“Your Content”). You retain all rights you held going in.
4.2 The license you grant Riffed
To run the App, we need permission to handle Your Content. By posting or otherwise submitting content to Riffed, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, modify (for example, transcode for streaming), publish, distribute, publicly perform, and display Your Content, solely:
- To operate, provide, and improve the App;
- To deliver Your Content to the audiences you choose (public, group-only, or private);
- To promote the App, with credit to you, where you have not opted out.
This license ends when you delete Your Content or your account, except where (a) Your Content has been shared with others who have already saved or remixed it, or (b) backups have not yet rotated (see the Privacy Policy for retention windows).
4.3 The license you grant other users
When you make a post public or share it to a group, you grant other Riffed users the right to view, like, comment on, share within the App, and (if you allow it) remix or layer on top of Your Content, subject to these Terms.
4.4 Your representations
You represent and warrant that, for everything you post:
- You either own the rights or have all necessary permissions, licenses, and consents to grant the licenses above;
- Your Content does not infringe anyone’s copyright, trademark, publicity, privacy, or other rights;
- Your Content does not violate any law or these Terms.
5. Remixes, layers & collaboration
Riffed is designed for collaboration. When you publish a post and allow remixing, other users may add layers (additional audio or video tracks) on top of your post. When you accept a layer onto your post, the result is a collaborative work in which:
- Each contributor retains ownership of the parts they created;
- You and each contributor grant the licenses described in §4 with respect to your own contributions;
- Attribution is preserved within the App’s remix tree.
If a contributor deletes their layer, the remix tree updates accordingly. We are not responsible for resolving disputes between collaborators about credit, ownership, or revenue from off-App use of a collaborative work.
6. Acceptable use
Riffed has zero tolerance for objectionable content and abusive users. By using the App you agree not to post objectionable content (including the categories below) or to harass, bully, threaten, or abuse other users. We remove objectionable content and may suspend or permanently ban users who violate this policy. We aim to review reports of objectionable content and act within 24 hours.
You agree not to:
- Post content that is unlawful, infringing, defamatory, obscene, sexually explicit (Riffed is a general-audience music platform), hateful, harassing, or that incites violence;
- Post content involving minors in any sexualized or exploitative way (we report this conduct to NCMEC and law enforcement);
- Impersonate any person or misrepresent your affiliation with any person or entity;
- Use the App to send spam, chain messages, or bulk solicitations;
- Attempt to gain unauthorized access to any part of the App, accounts, computer systems, or networks connected to the App;
- Reverse-engineer, decompile, or otherwise attempt to discover the source code of the App, except to the extent permitted by applicable law;
- Scrape, crawl, or use automated means to access the App, except via APIs we publish for that purpose;
- Sell, resell, or commercially exploit the App or any access to it without our written permission;
- Interfere with or disrupt the integrity or performance of the App, including by uploading malware or knowingly distributing viruses.
We may, at our sole discretion, remove content, suspend accounts, or terminate access for violations of these rules.
7. Copyright & DMCA
We respect intellectual property rights and expect users to do the same. If you believe content on Riffed infringes your copyright, send a notice to hello@riffedit.com that includes:
- A physical or electronic signature of the copyright owner or someone authorized to act on their behalf;
- Identification of the copyrighted work claimed to be infringed;
- Identification of the material claimed to be infringing, with enough detail for us to locate it on the App (a link or post ID is best);
- Your contact information (address, phone, email);
- A statement that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;
- A statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on the copyright owner’s behalf.
We will respond to valid DMCA notices, including by removing or disabling access to allegedly infringing material. We may terminate the accounts of users who are repeat infringers. If you believe content of yours was removed in error, you may submit a counter-notice to the same address with the equivalent information required under 17 U.S.C. §512(g).

8. In-app purchases
The App may offer paid content (for example, paid tutorials or subscriptions). Purchases made on iOS are processed by Apple and on Android by Google, in each case subject to their respective terms.
- Pricing. Prices are shown in the App and may include taxes where Apple or Google collects them on our behalf.
- Refunds. Refunds are handled by the platform (Apple via reportaproblem.apple.com; Google via Play Store account settings). We may grant additional refunds at our sole discretion.
- Subscriptions auto-renew unless you cancel at least 24 hours before the end of the current period, in your App Store or Google Play account settings.
- Access on termination. Refunds for unused subscription time are governed by Apple/Google policy.
9. Creator payouts
If you participate as a paid creator (for example, by selling tutorials), additional terms apply:
- Payouts are processed through Stripe Connect Express. You will be asked to onboard with Stripe, provide tax forms (W-9 for US persons, W-8BEN for non-US persons), and verify identity. We cannot pay you until Stripe onboarding is complete.
- Your revenue share is shown in the App at the time you publish a paid item. We deduct platform commissions (including Apple’s or Google’s commission on in-app purchases) before computing your share.
- We may withhold or delay payouts to comply with law, address suspected fraud, or resolve disputes (such as refund requests or DMCA notices).
- You are solely responsible for declaring and paying your own taxes on creator income. Stripe issues year-end tax forms (1099 / 1042-S) where required.
10. Third-party services
The App relies on third-party services (for example, Apple, Google, Stripe, Mux, Supabase, Sentry, Firebase). Your use of those services through the App is also subject to their respective terms, and we are not responsible for their availability or conduct beyond what we contractually require of them as our processors. See the Privacy Policy for the current list.
11. Termination
You may stop using the App at any time and delete your account from in-app settings.
We may suspend or terminate your access, with or without notice, if we believe you have violated these Terms, applicable law, or have caused harm to other users or to Riffed. Sections that by their nature should survive termination (including §4 license back-stops, §12 disclaimers, §13 liability limits, §14 indemnification, and §15 governing law) will survive.
12. Disclaimers
THE APP IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THE ACCURACY OF CONTENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED OR ERROR-FREE.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.
13. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, RIFFEDIT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO YOUR USE OF THE APP.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE APP IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $100.
14. Indemnification
You agree to defend, indemnify, and hold harmless Riffed and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from or related to: (a) Your Content; (b) your use of or access to the App; (c) your violation of these Terms; or (d) your violation of any rights of another person or entity.
15. Governing law & disputes
These Terms are governed by the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable therein, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
You and Riffed agree that any dispute arising out of or relating to these Terms or the App will be resolved exclusively in the courts located in the City of Toronto, Province of Ontario, and each party consents to personal jurisdiction there.
If you are a consumer resident in the EU, UK, or another jurisdiction whose mandatory consumer-protection laws override the choice of law and venue above, those mandatory laws still apply to you.
16. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will notify you in-app and update the “Last updated” date. If you continue to use the App after the updated Terms take effect, you accept the updated Terms. If you do not agree, you must stop using the App and may delete your account.
